Williams will be the starter for the Panthers, but Mike Tolbert and Cam Newton will take away goalline work and some 3rd down work. Add to that the Seahawks top 10 run defense and you may be asking for trouble.
Arian Foster won't get a full work load, so Tate will see more than normal touches, but it's hard to predict with any certainty so he's just a flex play for needy teams.

D-Will is likely on his last few legs. Luckily for him Jonathan Stewart is not 100% heading into the seaosn, which means Williams could have his few weeks of RB#2/#3 potential. While I would not get too excited, I would not let him slip too low in my draft just in case he starts against the Saints.
Ben Tate is an automatic RB#1 if Arian Foster goes down for any games. Not only is he RB#1 quality, he could be Top 5 for any given week. Tate is the exact clone of Boobie Miles from 'Friday Night Lights' and the Texans are not afraid to use him like that. If you draft Arian Foster, do yourself a favor and draft Ben Tate. Even if you do not own Foster, steal Tate away.

No matter how much yardage he's able to produce, Williams is still likely No. 4 on the Carolina depth chart in goal-line situations behind Mike Tolbert, Cam Newton and Jonathan Stewart.
Tate rushed for nearly 1,000 yards as a backup in 2011, but his 2012 was marred by injuries. With the Texans wanting to take some pressure off of Arian Foster, look for Tate to rebound in a big way this season...if healthy.
